Governance

Our Board of Directors is responsible for providing governance over the affairs of our company and sets a high standard representing our shareholders with strong emphasis on the importance of integrity, competence, character and culture. Our Audit, Compensation, Nominating and Corporate Governance, and Sustainability Committees are comprised entirely of independent directors.

 

Our Board members are highly independent, engaged, and diverse, with skills that are well suited to our business and industry. This structure underscores the Board’s belief that the company is best served when it can draw from members with a variety of perspectives to exercise strong and experienced oversight. In addition, our directors have full access to our officers, employees and advisors which we believe ensures that the Board is well-informed, while also allowing the independent directors to function as a body distinct from management.

 

Our Board is committed to continuous improvement:

  • We routinely review and benchmark against best practices and trends to ensure that we understand opportunities and differences
  • We have a robust, multi-tiered self-evaluation process, which consists of annual reviews at the Board, Committee and individual director levels
  • We conduct an annual corporate governance survey of management and non-management employees in order to monitor the internal perception around a broad range of topics including the control environment, risk mitigation and management, the use of technology, company values and the overall “tone at the top”
